THIS TERMS OF SERVICE AGREEMENT ("Agreement") is made and entered into by and between Green Canary Software, ("Company"), and you ("User"), collectively referred to as the "Parties".
BY USING THE SERVICE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
1. DEFINITIONS 1.1 "Service" means the software as a service provided by the Company to the User as described in this Agreement. 1.2 "User Data" means any data, content, or information provided by User to the Service.
2. ACCESS AND USE OF THE SERVICE 2.1 The Service is provided on an "as is" and "as available" basis. 2.2 The Company may modify, update, or discontinue the Service at any time without notice. 2.3 User agrees to use the Service solely for its intended purposes and not for any illegal or unauthorized activities. 2.4 User shall be responsible for maintaining the confidentiality of its login information and password.
3. USER DATA 3.1 User grants the Company a non-exclusive, worldwide, royalty-free license to use, copy, transmit, and store User Data for the purpose of providing the Service. 3.2 User is solely responsible for the accuracy, completeness, legality, and reliability of its User Data. 3.3 User represents and warrants that it has all necessary rights and permissions to provide the User Data to the Service and that the use of the User Data by the Service does not violate any third-party rights.
4. INTELLECTUAL PROPERTY 4.1 The Service and all intellectual property rights associated with the Service are owned by the Company. 4.2 User acknowledges that it does not acquire any ownership rights to the Service or any intellectual property rights associated with the Service. 4.3 User shall not reverse engineer, decompile, or disassemble the Service.
5. WARRANTY DISCLAIMER 5.1 The Service is provided "as is" without warranty of any kind, whether express or implied. 5.2 The Company does not warrant that the Service will be error-free, uninterrupted, or free from viruses or other harmful components. 5.3 The Company shall not be liable for any damages of any kind arising from the use of the Service.
5. LIMITATION OF LIABILITY 6.1 The Company's liability for any claim arising out of or in connection with this Agreement shall be limited to the amount paid by User for the Service. 6.2 In no event shall the Company be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with this Agreement.
6. INDEMNIFICATION 7.1 User agrees to indemnify and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, damages, or expenses arising out of or in connection with User's use of the Service.
7. TERM AND TERMINATION 8.1 This Agreement shall remain in effect until terminated by either party. 8.2 The Company may terminate this Agreement at any time without notice if User violates any of the terms of this Agreement. 8.3 Upon termination, User's access to the Service shall be immediately terminated.
8. GENERAL 9.1 This Agreement shall be governed by and construed in accordance with the laws of the US state of Oregon, without regard to its conflict of law provisions. 9.2 This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
